Canadian M&A Market Recap: Week Ended October 26th

Market Update

Sixty-one Canadian M&A transactions closed this past week. Year to date, M&A closed deal count is 3.1% lower than the comparable period in 2017. The Canadian dollar appreciated by 0.03 cents, ending the week at 76 cents. The TSX outperformed the S&P 500 by 0.2% in U.S. dollar terms. WTI Crude oil fell by 2.4%, ending the week at $67.59 per barrel.

According to The Lead Left, there are currently 396 private debt funds seeking a total of $175 billion in capital, representing an increase of seven funds in market since the last quarter. As of the start of October direct lending funds make up the majority of private debt vehicles raising, with 194 direct lending funds seeking 49% of private debt funds in market.

Supreme Metals Corp. (CNSX:ABJ), a Canadian company that engages in the acquisition, exploration, and development of natural resource properties, has agreed to acquire Iberian Lithium Corp., a Canadian company that engages in the development of lithium properties. Total transaction value is estimated to be $3.1 million.

Charter Oak Equity and Fonds de Solidarité have Acquired Licaplast Industries-Emballages

Charter Oak Equity LP and Fonds de Solidarité FTQ, both private equity firms, have acquired Licaplast Industries-Emballages Inc, a Canadian producer and retailer of flexible films for packaging, printing, and specialty applications. No transaction terms were released.

Epiroc AB to Acquire Groupe Fordia

Epiroc AB (EPIA:SS), a Swedish company that engages in the provision of solutions for worldwide rock drilling, excavation, demolition, and recycling, has agreed to acquire Groupe Fordia Inc., a Canadian developer, producer, and distributor of drilling solutions for mineral exploration and geotechnical industries. No transaction terms were released.

Mill Street & Co Inc., a diversified Canadian investment company, has acquired The Fastway Group Inc., a Canadian supplier of construction, commercial and industrial supplies. No transaction terms were released.

Pranger Enterprises has Acquired PR Aqua

Pranger Enterprises Inc., a U.S.-based company that engages in the design, construction, and installation of aquaculture and aquaponics systems, has acquired PR Aqua, a Canadian company that designs, engineers, and manufactures commercial and urban farming aquatic eco-systems systems. No transaction terms were released.

TerraNova Partners has Acquired YORK Analytical Laboratories

TerraNova Partners LP, a Canadian private equity firm, has acquired YORK Analytical Laboratories, Inc., a U.S.-based company that provides analysis of environmental samples for regulated contaminants. No transaction terms were released.

Cannabis Brands has Acquired Northern Lights Organics

Cannabis Brands, Inc., a Canadian producer of cannabis products, has acquired Northern Lights Organics Inc., a Canadian owner and operator of organic farms. No transaction terms were released.

Sporting Life, Inc., a Canadian apparel, footwear, sports equipment, and accessories retailer has agreed to acquire Golf Town Limited, a Signature Global Advisors backed Canadian golf equipment, apparel, and accessories retailer. No transaction terms were released.

TS Brandco Holdings Inc., a Canadian producer and supplier of cannabis products, has acquired ManitobaCo, a Canadian retailer of cannabis related products. TS Brandco Holdings Inc. is a subsidiary of Hiku Brands Company Ltd. Total transaction value is estimated to be $3.0 million.

eSentire has Acquired Versive

eSentire Inc., a  VentureLink LP, Georgian Partners Growth LP, and Intrepid Equity Finance Ltd., Investment Arm backed Canadian company that provides security solutions to help guard the intellectual property and infrastructure of enterprises, has acquired Versive, Inc., a U.S.-based company that develops artificial intelligence based applications for enterprises to handle cybersecurity threats. No transaction terms were released.

TransACT Communications has Acquired RightLabs

TransACT Communications, LLC, a U.S.-based developer of education management softwares, has acquired RightLabs Inc., a Canadian developer of web-based integrated business and education platforms. No transaction terms were released.
